By using the Services, you grant Elite Prep a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to access, use, reproduce, process, adapt, publish, transmit, display, and distribute your User Content solely for the purposes of providing and improving the Services, including generating summaries, data breakdowns, and comparisons.
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not7 violate these Terms, any applicable laws, or the rights of any third party.
Elite Prep reserves the right to remove or modify User Content for any reason, including if it violates these Terms or is deemed inappropriate.
5. AI-Generated Content and Insights
The Services utilize AI to generate summaries, data breakdowns, and comparisons based on your User Content. This AI-generated content is provided for informational purposes only and should not be considered professional advice.
Elite Prep makes no warranties or representations regarding the accuracy, completeness, or reliability of the AI-generated content. You are solely responsible for evaluating the information provided and making your own decisions based on your individual circumstances.
6. Comparison Feature
The comparison feature allows you to compare your preparation activities with other users who have similar goals. This comparison is based on anonymized and aggregated User Content.
By using this feature, you consent to your anonymized and aggregated preparation data being used for comparison purposes.
Elite Prep does not guarantee that you will find comparable users or that the comparisons will be meaningful or beneficial. The insights gained from this feature are for informational purposes only.
7. Event Calendar and Countdowns
The event calendar feature allows you to input event dates. The countdown feature provides a visual representation of the time remaining until your events.
You are solely responsible for the accuracy of the event dates you enter. Elite Prep is not responsible for any errors or omissions in your event calendar.
8. Prohibited Conduct
You agree not to:
Use the Services for any illegal or unauthorized purpose.
Violate any applicable laws or regulations.
Infringe8 upon the intellectual property rights9 of Elite Prep or any third party.
Transmit any viruses, worms, or other malicious code.
Attempt to interfere with the proper working of the Services.
Collect or harvest any personally identifiable information from other users without their consent.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
Attempt to gain unauthorized access to10 any portion of the Services or any other accounts, computer systems, or networks connected to the Services.11
9. Intellectual Property
The Services, including the App, the Website, and all content, features, and functionality (excluding User Content), are owned by Elite Prep or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable,12 revocable license to access and use the Services for your personal, non-commercial use in accordance with these13 Terms.
You may not reproduce, modify, distribute, display, perform, or create derivative works of any part of the Services without the express written consent of Elite Prep.
Elite Prep's name, logo, and other trademarks are the property of Elite Prep and may not be used without our prior written consent.

ELITE PREP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.17
ELITE PREP MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICES,18 INCLUDING AI-GENERATED CONTENT AND COMPARISONS. YOUR USE OF THE SERVICES AND ANY CONTENT IS AT YOUR SOLE RISK.
YOU ACKNOWLEDGE THAT THE RESULTS YOU ACHIEVE USING THE SERVICES MAY VARY AND DEPEND ON VARIOUS FACTORS BEYOND ELITE PREP'S CONTROL.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE PREP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR19 PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS20 OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES,21 WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY,22 EVEN IF ELITE PREP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF23 ELITE PREP TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ELITE PREP (IF ANY) FOR THE USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

You agree to indemnify, defend, and hold harmless Elite Prep, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including24 reasonable attorneys' fees) arising25 out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas,26 without regard to its conflict of law principles.
